2024-46 AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF VERMILION, OHIO TO ENTER INTO A GIFT AGREEMENT BY AND BETWEEN GRACE UNITED METHODIST CHURCH (“DONOR”), AND THE CITY OF VERMILION, OHIO, (“DONEE”), AND DECLARING AN EMERGENCY.
WHEREAS, the city desires to enter into a Gift Agreement by and between Grace United Methodist Church (“Donor”), and the City of Vermilion, Ohio, (“Donee”).
NOW, THEREFORE BE IT ORDAINED by the Council of the City of Vermilion, Counties of Erie and Lorain, State of Ohio:
SECTION 1: That the Mayor is hereby authorized and directed to enter into a Gift Agreement by and between Grace United Methodist Church, whose address is 13406 West Lake Road, Vermilion, Ohio 44089 (“Donor”), and the City of Vermilion, Ohio, an Ohio Municipal Corporation, 5511 Liberty Avenue, Vermilion, Ohio 44089 (“Donee”), collectively, the “Parties”, per the Gift Agreement attached hereto and incorporated herein.
SECTION 2: That the Donor will give to Donee cash or cash equivalents, or both, as determined by the Donor, equal in the aggregate to Two Hundred Twenty-Five Thousand Dollars ($225,000.00) (the “Gift”) to design, plan, construct, install, and maintain a Splash Pad on Donee’s property, and for other costs related to the Splash Pad. The Donor will pay the Gift in three equal installments of Seventy-Five Thousand Dollars ($75,000). Donor will pay to Donee the first installment on or before December 31, 2024; the second installment on or before March 30, 2025; and the third (final) installment on or before July 30, 2025.
SECTION 3: That payments will be made to the City Finance Department in accordance with the installments as identified in Section 2 and deposited into Fund 408 “Splash Pad Project.”
SECTION 4: This Council finds and determines that all formal actions of this Council concerning and relating to the passage of this Ordinance were taken in an open meeting of this Council and that all deliberations of this Council and of any committees that resulted in those formal actions were in meetings open to the public and in compliance with all legal requirements, including Section 121.22 of the Ohio Revised Code.
SECTION 5: That this Ordinance is declared to be an emergency for the public peace, health, and safety of the City of Vermilion; the immediate emergency being the necessity of allowing work and orders to begin in September of 2024. Wherefore, this Ordinance shall take effect immediately upon its passage and approval of the mayor, providing it meets the statutory requirements for passage; otherwise, it shall take effect and be enforced from and after the earliest period allowed by law.
